Last month, TPx, a 575-person managed service provider and telecom carrier that had climbed to #2 on Channel Partners’ MSP 501 list, filed for Chapter 11 bankruptcy to wipe out $1.1 billion in debt.

TPx wasn’t struggling to find customers. It had scaled through acquisitions, built a national footprint, and won recognition as one of the top-performing MSPs in the country. What it couldn’t do was grow fast enough to keep up with the debt it took on to get there. According to court filings, the company refinanced its senior debt in 2022, pushing roughly $300 million in payments out to 2026 and 2027, making a bet that scale would eventually outrun the balance sheet. It didn’t.

To be clear: TPx has said partner contracts and commissions aren’t affected by the proceedings, and the company reports positive adjusted EBITDA. This isn’t a story about a provider that stopped delivering. It’s a story about what happens structurally when a network provider grows large enough that its priorities are set by investors and debt holders before they’re set by the businesses it serves.

Scale and closeness don’t grow at the same rate

There’s a pattern worth naming here, and it isn’t unique to TPx. As a network or managed services provider scales, through funding rounds, acquisitions, private equity ownership, its obligations start to point in more directions. Debt service. Investor returns. Integrating acquired companies and systems. None of that is inherently bad, but none of it is about your network either.

Meanwhile, the thing that actually keeps a network running well, someone who understands your sites, your traffic patterns, and your business well enough to make good calls without a six-week discovery process, doesn’t scale the same way. It’s built through proximity and continuity, not headcount.

That’s not an argument against every large provider. It’s a reason to ask, specifically, what you’re trading for their size.

What to look for instead

If you’re currently with a large, complex, or debt-leveraged provider, or evaluating one, a few questions are worth asking before you sign anything:

  • Who actually owns your account? Is there a person who knows your network, or a rotating queue?
  • How is the provider funded, and what does that mean for its roadmap? Debt-financed growth and steady, deliberate growth lead to very different sets of priorities.
  • What happens to your service if the provider is acquired, restructured, or sold? It’s a fair question to ask directly, and a good provider will have a real answer.
  • Can you get someone with real technical authority on the phone, or does every issue route through tiered support first? The answer tells you whether you’re a relationship or a ticket number.

None of these questions have a universally right answer. But they tell you a lot about what kind of relationship you’re going to have once the contract is signed.
